General Terms and Conditions of Use

This document presents the General Terms and Conditions of Use (GTU) of the electronic platform developed by Cure51, ROSALINK. It is intended to apply to each User of ROSALINK.

1. Introduction

CURE51 aims to build a database from the analysis of clinical and biological data from patients who have survived a poor prognosis. To this end, cohorts are made up of data analyzed within the framework of research protocols written and conducted by CURE51 and/or academic, institutional and/or industrial partners.

ROSALINK. Developed by CURE51, ROSALINK is a digital platform that offers the possibility of:

Appear in the Experts' directory, with a dedicated profile including their photograph, a description of their activities as an Expert, their geographical position on the interactive map and where applicable the references of their publications;
Search for Experts in the Experts directory and have their contact details and location, to contact them and if necessary collaborate on projects;
Access to collaborative spaces;
Receive newsletters;
Obtain visibility on the progress of the study (dashboard, interactive map, newsletter);
Participate in webinars;
Access live or replay webinars.

Acceptance of the GTU. The User of the Platform is invited to read these General Terms of Use (GTU). The User acknowledges having read the GTU and accepts them fully and without reservation. The validation of your User Account and the use of the Services will be considered as an express and unreserved acceptance of all the GCU presented by the User. In the event that the User does not adhere to the GTU, he is requested not to use the Platform Services. You are invited to read these GTU carefully before accepting them and validating the creation of your User Account and using the Services.CURE51 aims to build a database from the analysis of clinical and biological data from patients who have survived a poor prognosis. 2. Definitions

"Expert": refers to any healthcare professional participating in the Rosalind study and any other professionals involved in the field of health wishing to join the network of experts facilitated via ROSALINK by CURE51 and authorized by CURE51 in view of their expertise to create a User Account.

“User Account”: refers to an Account allowing a User to log in to the Platform in an authenticated and secure manner and to access a set of features specific to the nature of the User.

"Content": refers to all the elements present on the Platform (texts, images, videos, logos, etc.)

"Platform / ROSALINK Platform": refers to the digital platform developed by CURE51 to facilitate the exchange of information between Experts.

“Services”: refers to all the features offered by the ROSALINK Platform.

"User": any person accessing and browsing the ROSALINK Platform.

3. Subject

The purpose of these GTU is to define the conditions under which Users can access the Platform. They define the rights and obligations of the Users when using the Platform Services.

4. Acceptance of the GTU and Modifications

The purpose of these GTU is to define the conditions under which Users can access the Platform. They define the rights and obligations of the Users when using the Platform Services.

4.1 Acceptance of the GTU

Access and use of the Platform are subject to prior knowledge and express acceptance without reservation by the User of the GCU. By clicking on the "Log in" button, the User acknowledges having read and accepted all of these GTU. Failure to accept the GTU implies that the User is unable to access and use the Platform and its Services.

Access to and use of the Platform implies express and unreserved acceptance of the Privacy Policy and the Cookie Policy. The User is expressly invited to read them.

4.2 Amendments of the GTU

CURE51 reserves the right to modify these GTU. Any modification of the GTU shall take effect as soon as it is posted on the Platform. The User is invited to consult these GTU regularly in order to become aware of any possible modification. For its part, CURE51 provides Users with reasonable notice before the entry into force of substantial modifications, under the conditions specified in Article 6 below. The continued use of the Services after notification and posting by CURE51 of a new version of the GTU shall constitute acceptance of this latest version, including the documents referred to therein. Thus, any User is informed that the only version of the GTU that is binding is the one that is online which they acknowledge and accept without restriction. The User is required to refer to the online version of the GTU on the date of his access and each use of the Services.

5. Operation of the Service

5.1 Access

Access to the ROSALINK Platform. Access to the ROSALINK platform is by invitation only. CURE51 sends an Account creation link by email to the selected people. It is impossible to register without this link.

Platform availability. Although CURE51 makes its best efforts to ensure reliability and availability of access to the Services 24 hours a day, CURE51 cannot be held responsible in any way for an error, a bug or any anomaly encountered in the use of the Services, as well as an access interruption regardless of the reason and duration. In the event of a scheduled shutdown, particularly as part of maintenance and/or changes to the Services, CURE51 will make its best efforts to notify you in advance by publishing an alert.

Availability of the Services. CURE51 may in its sole discretion discontinue, delete, modify or add to the Services, permanently or temporarily. In this case, CURE51 will endeavor, as far as possible, to inform the Users beforehand. All new, modified or deleted features are subject to these GTU. The fact that the User continues to use the Services of the Platform constitutes acceptance of the evolutions of this GTCU.

Technical means of the User. The User is solely responsible for the use he/she makes of all technical means allowing access to the Services of the Platform. It is the responsibility of the User to take all appropriate measures, including regular backups, to protect the equipment and data and to minimize harmful consequences, notably those related to a possible interruption of operations or a possible loss of data generated by or following the use of the Platform’s Services.

5.2 User Account

Creation of the User Account. Access to the ROSALINK platform is only by invitation from CURE51. To benefit from the services, a User Account is mandatory.

Request for creation. The creation of an Account is initiated either by a request made via the platform’s contact form, or by sending an email directly to the person concerned by CURE51. In the case of a request via the form, CURE51 reserves the right to approve or refuse it.

Filling in the form. By clicking on the link, the User is directed to a form to be filled out (see 5.2.1). The User must also accept the Privacy Policy and the GTU of the platform. Once CURE51 receives and validates the form, a confirmation email is sent to activate the Account.Once the form is completed and the user submits it, the account is created and the user can login.

Accuracy of information. The accuracy of the information that the User provides is a condition of the quality of services. Any inaccurate or incomplete information or identity theft may result in suspension of access, Account closure and/or legal action.

Profile. After creating the Account, the User has the possibility to create a profile (see 5.2.2). Although optional, CURE51 strongly recommends creating a Profile.

5.2.1 The Account

The Account is the standard profile. It allows free navigation on the platform. The creation form will ask the User to provide their first name, last name, email address, and to create a password.

5.2.2 The Profile

Additional information. The Expert Profile is necessary if the User wishes to appear in the Directory of Experts. To benefit from it, the User can either make a request at the creation of their Account or later, via the "Contact us" section. To create an Expert Profile, the User must provide additional information in addition to that of the standard Account. Some of this information is mandatory, but the majority is optional. CURE51 encourages them to fill in to complete the profile as best as possible.

Mandatory information. The following fields are mandatory:

Last name and First name;
Title or responsibilities.

Optional information. The following information is optional:

Email address;
Clinical and/or research activity;
Achievements and recognitions;
Professional roles and networks;
Publications and research highlights;
Translational innovations;
Clinical leadership and impact;
Brief introduction;
Photo;
Attached hospital center.

Right to the image. The creation of an Expert Profile requires permissions regarding image rights, including capture and distribution via ROSALINK.

5.3 Account closure / suspension

5.3.1 By the User

They end on the day (i) of the deactivation of their Account by the User; (ii) of the termination of the GTU by CURE51 under the conditions defined in the article «Termination», or (iii) of the acceptance of the new GTU by the User. The User may delete their Account by requesting the closure of their Account at any time, without having to provide reasons, by sending an email to the address: compliance@cure51.com. CURE51 will deactivate the Account as soon as possible and send an email to the User confirming the closure of their Account.

5.3.1 By CURE51

Prolonged non-connection. CURE51 may deactivate an Account if the User has not logged in for a maximum period of five (5) years.

Serious breach or compliance with legal requirements. In the event of a serious breach of these GTU by the User, or to comply with a court order or legal requirement, CURE51 reserves the right to close their Account immediately without prior notice. A serious breach includes, but is not limited to, a User's failure to comply with the identification requirements outlined in the GTU.

Claim of damages. The closure of an Account does not prevent CURE51 from seeking damages from the User for any harm caused by their violations.

Notification. The User will be notified of the Account closure via email.

Suspension. In the event of any other breach by the User of the provisions of these GTU, CURE51 may suspend their Account for the duration necessary for the verifications carried out by CURE51. The User will be informed of such a measure and invited to contact CURE51 by email in order to obtain information and make any observations and/or provide proof that the breach has been remedied. In the event of a breach not remedied within fifteen (15) days after this notification, CURE51 may notify the closure of the Account.

Consequences of deleting the Account. Regardless of the suspension or deletion of the Account, the User remains liable for his obligations under the other applicable CURE51 General Terms and Conditions of Use still in force. Once the Account is deleted, CURE51 proceeds to delete the data related to the User.

6. Duration and Termination

The GCU is concluded, following their acceptance, for the entire duration of use of the Services by the User, unless otherwise provided in the GCU. They will apply to any modification of the Services, to any new version, service or functionality of our Products and Services, regardless of the access mode.

7. Operation of the Services

7.1 User's obligations

ROSALINK is intended for personal and non-commercial use. You agree not to use ROSALINK for any purpose that is unlawful or prohibited by these GTU. You are solely responsible for your use of ROSALINK and any content that you post or transmit through the Platform.

Authorized use. Each User agrees to use ROSALINK in compliance with (i) these Terms of Use, (ii) applicable laws and regulations (iii) the rights of third parties, including, without this list being exhaustive, intellectual property rights, the rights to privacy or personality and (iv) any other agreements (including confidentiality) to which it is subject, as applicable.

Prohibited use. Each User agrees not to use ROSALINK in any manner which (i) goes beyond what CURE51 authorises under these Terms of Use and/or any document referred to therein, (ii) modifies ROSALINK and/or the underlying technologies, (iii) violates or bypasses technical, administrative, procedural or security measures of the Services and/or the underlying technologies, (iv) disrupts or degrades the performance of the Services and/or the underlying technologies data, in particular by interfering or attempting to interfere with the access of a User, a host or a network, by sending a virus, an overload, a flood, spamming or a bombardment by mail of the Services (v) tests the vulnerability of CURE51’s systems or networks and/or underlying technologies, (vi) interferes with or compromises the proper functioning of the Services, their integrity or security, (vii) decrypts transmissions to or from servers running ROSALINK, (viii) imposes an unreasonable or disproportionate burden on the infrastructure supporting ROSALINK, (ix) violates the trade secrets or know-how of CURE51, or has as its object or purpose (x) to decipher, decompile, disassemble or reverse engineer or otherwise modify the source code of any software used to provide ROSALINK and/or the underlying technologies.

Safe use. In general, each User undertakes to take all necessary precautions in order not to transmit via ROSALINK any virus or other computer program that could damage, interfere in a harmful way, intercept or expropriate a system or data.

7.2 Directory of Experts

7.2.1 Content

The Directory of Experts is exclusively intended for Expert Profiles, unlike a standard account (for more information, refer to section 5.2.1. and section 5.2.2.). The data published therein include:

The identification information that the Expert provided via the contact form when creating their Profile;
Additional data collected on the Internet, which is already public. These concern the professional background, areas of expertise, publications and photography of the expert.

7.2.2 Operation

Thanks to the Directory, Experts can easily get in touch with their peers. They have the possibility to:

Consult other Expert Profiles and contact them directly by email or via their website using the "Contact" button;
Use an interactive map to visualize the location of other Experts and centres taking part in the Rosalind study.

7.2.3 Permissions related to image rights

By creating an Expert Profile, the User is required to give their explicit consent regarding their right to the image. This authorization covers the publication and dissemination of his/her photo and image on ROSALINK, whether in the Directory of Experts or in videos disseminated through different communication channels (such as the newsletter, the interactive map or webinars).

7.3 Dashboard

7.3.1 Content

The dashboard is the central hub for information. The User can find the latest updates on ROSALINK and the Rosalind study, view a schedule of upcoming webinars, and access the interactive map of centers and Experts.

7.3.2 Operation

Since the dashboard only provides access to content, the user's only actions are to click, navigate, and read the posts.

7.4 Newsletter

7.4.1 Content

The newsletters highlight news from the Expert community, which can include information about specific Experts and new content like online webinars.

7.4.2 Operation

The newsletters are managed and sent via the HubSpot platform. They're delivered to the User email, and while the subscription is automatic, the User has the option to unsubscribe whenever he/she likes.

7.5 Collaborative Spaces

It is recalled that under current legislation, CURE51 is not subject to any obligation to monitor the information transmitted or stored through the Services and does not control the content added or sent by the Users. Any abuse in the use of these Services will be considered as a violation of the GCU likely to lead to the suspension of the User Account.

7.5.1 Content

The Users collaborate through several channels:

Webinars: all Users can request access to webinars or watch the replays, which are made available online after receiving authorization from the participants;
Forum: additionally, the Users can interact on the forum by creating new topics and commenting on existing ones.

7.5.2 Operation

The services provided by CURE51 are limited exclusively to the provision on the ROSALINK Platform of linking tools (directory, interactive map) and collaborative spaces allowing collaboration between Experts without involving any control of any kind or other form of guarantee, nor possibility of control or guarantee of any kind on the part of CURE51 on the Users and/or on the respect by the Users of their obligations in relation to their use of the Services, particularly regarding legal and ethical obligations, in particular any obligation of secrecy covering the information transcribed by the Users, pursuant to a legal obligation (medical secrecy, banking secrecy, etc.).

However, CURE51 may be required to (i) transmit to the User any notification or complaint concerning the use of the Services by the User and/or (ii) to communicate the nominative information concerning the User as well as all or part of the information stored on its servers, upon request from judicial and/or administrative authorities and/or (iii) to take any other measures imposed on it, depending on the circumstances, by law such as, in particular, withdrawing data deemed unlawful or making it impossible to access and/or (iv) when required by law, inform the competent public authorities of illegal activities that would be reported to him.

7.5.3 Responsibilities

For these reasons, the responsibility of CURE51 can in no case be engaged in the event that the User transmits incomplete, insufficient or erroneous data. The User assumes full responsibility for the nature, content, accuracy, integrity and/or legality of the information transmitted to CURE51 in connection with the use of ROSALINK, as well as the resulting exploitation. In particular, it is strictly forbidden to upload, send and/or store non-professional data in ROSALINK and more generally and in particular data of an illicit, obscene, defamatory nature or illegal data or in violation of the rights of a third party, of the protection of minors or privacy (generally referred to below as illicit. In particular, the User acknowledges that they are fully responsible for the content of the exchanges within the framework of the use of messaging and videoconferencing services made available to them by CURE51. Are notably considered as an abuse of the use of collaborative space services, the incorporation of videos or links to videos and more generally any illicit content.

7.5.4 Suspension and closure of the User Account

CURE51 reserves the right to suspend the User Account, at any time and without notice, notably in case of non-performance by the User of one of his obligations provided for in the Contract and/or in case of non-compliance with the recommendations for use of CURE51 and/or at the express request of a competent administrative or jurisdictional authority and/or in case of actual or suspected infringement of any right, all without this suspension being considered as a breach of its obligations. CURE51 may make the restoration of the suspended Services conditional on the effective implementation by the User of appropriate measures designed to guarantee any risk of perpetuation or repetition of the facts at the origin of the suspension. Failing this, CURE51 may proceed to close the User Account.

7.6 Sharing experiences and reporting incidents by the User

The logged-in User can share a feedback/ bug via the contact form.

8. Protection of Personal Data

In accordance with the Regulation, the User is informed that CURE51, as data controller, implements a processing of personal data concerning him/her. The information communicated by the User through the various forms (contact, membership, request for activation of a service, subscription to the newsletter and participation form in webinars) are intended for the authorized personnel of CURE51 for the purposes described in the Preamble. For more information regarding the processing of personal data, please refer to ROSALINK’s Privacy Policy.

9. Intellectual Property

ROSALINK content, including but not limited to text, graphics, logos, button icons, images, audio and video clips, digital downloads and data compilations, is the property of CURE51 or its licensors and is protected by intellectual property laws. The photos present on the Platform come from different sources, mentioned case by case on the credit of each photo. By default, they come from the website of CURE51’s partners as part of the Rosalind Study. For any reproduction request (graphics, photos and videos): contact us via the contact form.

10. Limitation of Liability

To the fullest extent permitted by applicable law, CURE51 disclaims any and all liability arising from your use of ROSALINK or any content posted, transmitted or otherwise made available via the Platform. ROSALINK is provided "as available" without warranty of any kind, express or implied.

11. General

Nullity. If any of the stipulations of these GTC were null or inapplicable, in whole or in part, the other stipulations continue to apply. The Parties undertake, in good faith, to replace inapplicable or null stipulations with other stipulations of comparable effect.

Interpretation. No tolerance of one of the Parties for the implementation of one or more of the conditions herein shall be interpreted as a tacit agreement or waiver of the Platform hereunder.

No application. The fact that the Parties do not enforce one of the stipulations of these GTU does not constitute a waiver to subsequently enforce this stipulation or to avail themselves of any rights related thereto.

Transfer, assignment or transmission of rights. No right or obligation arising from these GTU may be transferred, assigned or transmitted by a User to any third party without the prior and express consent of CURE51. Any transfer or transmission in violation of this article shall be null and void. CURE51 shall, however, be entitled to transfer or assign, in whole or in part, its rights and obligations under these Terms of Use to any entity (i) with which it is or will be related (ii) the acquiring or successor following a restructuring operation or (iii) buyer or transferee of all or part of its capital or assets, including the Services.

Language. These GTU and any document referenced in these GTU, including the Privacy Policy are written in French. In the case of a version translated into another language, the French version shall prevail in case of contradiction.

12. Applicable Law and Jurisdiction

Interpretation of the law. These GTU shall be governed by and constructed in accordance with French law, regardless of the place from which the Services are used. The Services comply with French legislation. CURE51 can in no way guarantee compliance with the local legislation that would be applicable to you, as long as you access ROSALINK from a country other than France.

Competent court. In the absence of an amicable solution, the competent court within the jurisdiction of the Paris Court of Appeal shall be the only one having jurisdiction, including in the event of a warranty appeal and plurality of defendants to settle any dispute arising between the Parties from the interpretation, execution and/or termination of these GTU.
